1. About Birbals

Birbals provides technology services and solutions, which may include:

• AI strategy and roadmaps
• AI automation and agents
• AI product development
• Managed AI operations and support
• Custom software development
• Web and mobile application development
• Technology consulting and related professional services

Birbals also builds and operates its own products and runs Birbals Launchpad, a program that supports early-stage founders.

Descriptions of services, products, and programs on the Website are for general information and are not binding commitments or offers.

2. Permitted use

You may use the Website for lawful personal and business purposes. You agree not to:

• Violate applicable laws or regulations
• Attempt unauthorized access to the Website, servers, systems, or information
• Interfere with the Website’s operation, availability, or security
• Introduce viruses, malware, or other harmful software
• Attempt to circumvent security controls
• Submit spam or automated form submissions
• Engage in fraudulent, misleading, or abusive activity
• Impersonate another person or organization
• Infringe intellectual-property, privacy, or other legal rights
• Scrape, harvest, or systematically extract Website content in a way that materially burdens our systems or violates applicable law

We may restrict access where reasonably necessary to protect the Website, our systems, users, or legal rights.

3. Intellectual property

Unless otherwise indicated, the Website and the original materials on it, including text, graphics, logos, designs, software, illustrations, photographs, interfaces, and other content, are owned by or licensed to Birbals and may be protected by copyright, trademark, trade-secret, and other intellectual-property laws.

You may view Website materials for informational and business-evaluation purposes. Unless permitted by law or authorized by Birbals in writing, you may not reproduce, modify, distribute, republish, sell, license, or commercially exploit Website content.

Client names, websites, testimonials, press coverage, awards, and other third-party trademarks shown on the Website remain the property of their respective owners and are shown for reference.

4. Service engagements

Visiting the Website, submitting an inquiry, booking a strategy session, or requesting a consultation does not create a client relationship or a contract.

Professional services provided by Birbals are subject to separate written agreements, which may include:

• Master services agreements
• Statements of work
• Proposals
• Licensing agreements
• Data processing agreements
• Confidentiality or non-disclosure agreements
• Service-level agreements
• Other written contracts

Those agreements may set out scope, pricing, deliverables, timelines, intellectual-property ownership, confidentiality, data-processing requirements, warranties, support obligations, and other terms. If a signed agreement conflicts with these Terms regarding contracted services, the signed agreement controls for those services.

5. Birbals Launchpad and product waitlists

Applying to Birbals Launchpad does not create an investment, partnership, employment, or other relationship, and does not guarantee acceptance. Birbals selects participants at its discretion. Any engineering support, equity, or other terms are set only in a separate signed agreement.

Please share only the information you are comfortable sharing in an application. Submitting an idea does not by itself create a confidentiality obligation; if confidentiality is required, ask us to sign an appropriate agreement before you share sensitive details. Birbals may independently develop or be working on products similar to ideas it receives.

Joining a product waitlist does not guarantee access to the product, a launch date, or particular features. Use of each product is governed by its own terms.

6. Artificial intelligence and automated technologies

Birbals may develop or implement solutions that incorporate artificial intelligence, machine learning, automation, generative AI, and third-party technology platforms.

AI systems may produce inaccurate, incomplete, or unexpected results and may require human review. Statements on the Website about AI capabilities or potential outcomes are informational and are not guarantees of performance or specific business results. AI performance depends on factors including data quality, implementation, third-party models, integrations, infrastructure, and use case.

Specific commitments regarding AI systems, data processing, model usage, confidentiality, security, intellectual property, or performance must be set out in the applicable client agreement.

7. Information you submit

You agree that information you submit through the Website is accurate and that you have the authority to provide it.

Do not submit confidential business information, trade secrets, credentials, highly sensitive personal information, proprietary source code, or similarly sensitive materials through Website forms unless we have specifically asked for them and agreed appropriate safeguards.

Information submitted through the Website is handled in accordance with our Privacy Policy.

8. Confidentiality

Communicating with Birbals through the Website does not by itself create a confidential, fiduciary, attorney-client, or other privileged relationship. Confidential business information and project materials should be provided under an appropriate confidentiality or services agreement.

Nothing in these Terms overrides confidentiality obligations in a signed agreement between Birbals and another party.

9. International operations

Birbals is headquartered in California, United States, and has a distributed workforce that includes personnel in the United States, India, Canada, and Australia. Authorized personnel in these locations may take part in software development, AI development, project delivery, quality assurance, technical support, and other business activities.

The location of Birbals personnel does not change the law that governs these Terms. Client agreements may set additional requirements for international service delivery, data protection, security, confidentiality, or intellectual property.

10. Third-party technologies and services

Birbals may use, integrate with, or refer to third-party technologies, platforms, cloud services, AI models, software, APIs, and other services. The Website also links to third-party websites, including client websites, press articles, and social networks.

Third-party products, services, and websites are subject to their own terms, policies, availability, and limitations. Birbals does not control them and is not responsible for their content or practices, except where responsibility is expressly established by law or a written agreement.

11. Website analytics and measurement

Birbals uses analytics and advertising-measurement tools, including Google Analytics, Google Ads conversion and call tracking, and Cloudflare Web Analytics, to understand Website traffic and the effectiveness of our advertising. The Website also offers an accessibility tool provided by accessiBe.

Our Privacy Policy and Cookie Policy explain how these technologies work, what information they collect, and the choices available to you.

12. Website accuracy

We make reasonable efforts to keep Website information accurate and current, but technologies, capabilities, personnel, service offerings, programs, specifications, and other information may change. We do not warrant that all Website content is complete, current, accurate, or error-free, and we may update, modify, or remove content without notice.

13. No professional advice

Website content is for general information. Unless expressly agreed otherwise in writing, it is not legal, financial, investment, tax, regulatory, cybersecurity, medical, or other licensed professional advice. Obtain appropriate professional advice before making decisions that require specialized expertise.

14. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Website and its content are provided “as is” and “as available.” Birbals disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability, to the extent such warranties may lawfully be disclaimed. We do not warrant that the Website will always be available, secure, error-free, or free of harmful components.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

15. Limitation of liability

To the maximum extent permitted by applicable law, Birbals Inc. and its affiliates, officers, directors, employees, and representatives will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to use of the Website, including, where permitted by law, loss of profits, revenue, business opportunities, data, goodwill, or business interruption.

Nothing in these Terms limits liability that cannot lawfully be excluded or limited. Liability relating to professional services provided by Birbals is governed by the applicable signed client agreement.

16. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Birbals Inc. and its affiliates, officers, directors, employees, and representatives from third-party claims, liabilities, damages, and reasonable expenses arising from:

• Your unlawful use of the Website
• Your material violation of these Terms
• Your infringement of another person’s intellectual-property or other legal rights

This does not apply to the extent a claim results from Birbals’ own unlawful conduct.

17. Privacy

Use of the Website is subject to our Privacy Policy, which describes how Birbals collects, uses, discloses, and protects personal information.

18. Website availability

We may modify, suspend, restrict, or discontinue any part of the Website for maintenance, security, operational, technical, or business reasons, and we do not guarantee continuous availability. Availability or service-level commitments for client services must be set out in a separate written agreement.

19. Governing law and jurisdiction

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles.

Subject to applicable law and non-waivable legal rights, disputes arising from or relating to these Terms or use of the Website will be subject to the jurisdiction of the state or federal courts located in Alameda County, California, and you consent to the jurisdiction and venue of those courts to the extent permitted by law.

20. Changes to these Terms

We may update these Terms to reflect changes to the Website, our business, technologies, or legal requirements. Updated Terms will be posted on the Website with a revised “Last updated” date. Continued use of the Website after updated Terms take effect constitutes acceptance of them, to the extent permitted by law.

21. Severability

If any provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will continue in effect.

22. No waiver

If Birbals does not enforce a provision of these Terms, that does not waive our right to enforce it or any other provision in the future.

23. Entire agreement

These Terms and our Privacy Policy are the terms governing use of the Website. They do not replace separate agreements governing professional services, Birbals Launchpad, or other contractual relationships with Birbals.
